Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Fund Flow platform, including all related software, APIs, mobile applications, and services (collectively, the "Service") provided by Fund Flow, Inc. ("Fund Flow," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Accounts
2.1 Account Registration
To access the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and for all activity that occurs under your account.
2.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify Fund Flow immediately at security@fundflow.com if you suspect unauthorized access to your account. Fund Flow is not liable for any loss or damage arising from unauthorized use of your credentials.
2.3 Account Suspension
Fund Flow reserves the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to the Service or other users.
3. Billing & Payments
3.1 Subscription Fees
Access to the Service requires a paid subscription (except during an applicable free trial). Subscription fees are billed in advance on a monthly or annual basis, as selected at sign-up.
3.2 Non-Refundable Payments
All subscription fees are non-refundable. Cancellation of your subscription stops future billing but does not entitle you to a refund for any amounts already charged. If you cancel, your access continues through the end of the current paid billing period.
3.3 Annual Plan Early Cancellation
Annual subscribers who cancel within 14 days of a renewal charge may contact support@fundflow.com to discuss case-by-case options. Fund Flow has sole discretion over any refund consideration.
3.4 Failed Payments
If a payment fails, Fund Flow will attempt to collect payment using the payment method on file. If payment is not collected within a reasonable grace period, your account may be downgraded or suspended. You remain responsible for any outstanding balances.
3.5 Taxes
Subscription fees do not include taxes. You are responsible for all applicable taxes, levies, and duties imposed by taxing authorities. Fund Flow will collect taxes where required by law.
4. Acceptable Use
You agree to use the Service only for lawful purposes. You must not:
- Use the Service to violate any applicable law or regulation, including securities laws
- Upload or transmit content that is unlawful, defamatory, fraudulent, or infringes third-party rights
- Attempt to gain unauthorized access to any part of the Service or another user's account
- Interfere with the integrity or performance of the Service (e.g., by sending excessive requests or introducing malicious code)
- Scrape, crawl, or harvest data from the Service without express written permission
- Resell, sublicense, or redistribute access to the Service
- Use the Service to store or transmit material that contains viruses, malware, or other harmful code
Violation of these restrictions may result in immediate account termination without refund.
5. Intellectual Property
5.1 Fund Flow Ownership
Fund Flow and its licensors own all right, title, and interest in the Service, including all software, designs, trademarks, and documentation. These Terms do not grant you any ownership interest in the Service.
5.2 Your Content
You retain ownership of the data and content you upload to the Service ("Your Content"). By uploading Your Content, you grant Fund Flow a limited, non-exclusive license to process, store, and display Your Content solely to provide the Service to you. Fund Flow does not claim ownership over Your Content.
5.3 Feedback
If you provide Fund Flow with feedback, suggestions, or ideas about the Service, you grant Fund Flow a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.
6. Privacy
Your use of the Service is also governed by Fund Flow's Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
7. Third-Party Integrations
The Service may integrate with third-party services (such as Google Gmail, Stripe, and ACH processors). Your use of those integrations is subject to the respective third party's terms of service and privacy policy. Fund Flow is not responsible for the availability, accuracy, or practices of any third-party service.
8. AI Features & Disclaimers
8.1 AI-Generated Content
Fund Flow's AI features generate content (emails, document drafts, analyses) based on data you provide. AI-generated content is provided for informational and efficiency purposes only. You are solely responsible for reviewing, verifying, and approving any AI-generated content before use.
8.2 No Professional Advice
Nothing generated by Fund Flow's AI constitutes legal, financial, tax, investment, or securities advice. Fund Flow is not a registered investment adviser, broker-dealer, or law firm. Do not rely on Fund Flow output as a substitute for professional legal, financial, or compliance counsel.
8.3 AI Accuracy
AI-generated content may contain errors, inaccuracies, or outdated information. Fund Flow makes no warranty that AI output is accurate, complete, or fit for any particular purpose.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Fund Flow expressly disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement. Fund Flow does not warrant that the Service will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Fund Flow's total liability to you for any claims arising under or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid Fund Flow in the 12 months preceding the claim or (b) one hundred US dollars ($100). Fund Flow is not liable for any indirect, incidental, special, consequential, or punitive damages, even if Fund Flow has been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless Fund Flow, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of a third party.
12. Dispute Resolution & Arbitration
12.1 Informal Resolution
Before filing a formal claim, you agree to attempt to resolve disputes informally by contacting legal@fundflow.com. Fund Flow will attempt to resolve the dispute within 30 days.
12.2 Binding Arbitration
If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Delaware, USA. The arbitrator's award is final and binding.
12.3 Class Action Waiver
You waive any right to participate in a class action lawsuit or class-wide arbitration against Fund Flow.
12.4 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
13. Export Compliance
You agree to comply with all applicable United States and international export laws and regulations. You represent that you are not located in, under the control of, or a national of any country subject to U.S. government embargo.
14. Modifications to Terms
Fund Flow reserves the right to modify these Terms at any time. Material changes will be communicated via email or prominent in-app notice at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
